Request for Expression of Interest (EOI) for Legal Counsel



The Ministry of Finance of the Government of Ghana intends to undertake the 2019 international funding programme as stipulated in the 2019 Budget Statement and Economic Policy.

In this regard, we are interested in procuring the services of a local legal firm to act as Legal Counsel to advise the Ministry on particular legal issues concerning the programme. The funding programme for 2019 is a benchmark size of up to US$3.00 billion with rule Reg S/144A documentation.


The local Legal Counsel will be responsible for:

  • ensuring compliance with all Ghanaian legal requirements;
  • reviewing the Transaction Documents and the Prospectus;
  • liaising with International Transaction Counsel and the Underwriters Counsel in respect of all Ghanaian legal requirements;
  • assisting the due diligence process; and
  • issuing a legal opinion to the Lead Managers.



The Proposal should address the specific issues below in the order shown and as specifically and succinctly as possible.

  • Brief firm profile;
  • Experience and track record in similar programmes;
  • Detailed Description of scope of services to be provided;
  • Detailed description of methodology and timelines for performing the assignment;
  • Proposed team;
  • CVs of proposed team members; and
  • Summary description of the key legal concerns and issues that you believe may arise in connection with the transaction.


Interested applicants must provide the following valid certificates, copies of which must accompany the EOI:

  • Valid Tax Clearance Certificate;
  • Valid Social Security Clearance Certificate;
  • Valid VAT Registration;
  • Certificate of Incorporation; and
  • Certificate to Commence Business

This EOI does not constitute in any way an engagement by the Ministry of Finance of your firm. Should we decide to retain your services, you will be notified by a written statement from the Ministry of Finance at which time and you will be asked to sign an engagement letter with the Ministry.

The Ministry reserves the right to suspend or discontinue the selection process or the transaction at its sole discretion and will not be liable for expenses incurred by proposal submitters.

Any information that you receive in order to provide your proposal is strictly confidential and may not be revealed to third persons without the explicit prior written authorisation of the Ministry of Finance.
